EFG International Buys BTG Pactual’s BSI for $1.34 Billion

Trench, Rossi e Watanabe, Demarest, Schellenberg Wittmer Ltd., Skadden and Lenz & Staehelin have advised in the transaction

Zurich-based bank EFG International has agreed to buy BSI for about 1.33 billion Swiss francs ($1.34 billion) in cash and stock. The deal is expected to close in the fourth quarter of this year. Banco BTG Pactual S.A., together with its subsidiaries, provides financial products and services in Brazil and internationally. The firm led by Persio Arida, Claudio Galeazzi, and Huw Jenkins, is based in Brazil. BSI SA provides asset management services for private and institutional clients in Switzerland and internationally. The company, led by Stefano Coduri, Rajiv Pradhan, Renato Cohn, Hanspeter Brunner, Gérald Robert, Renato Santi, Reto Kunz, Maurizio Moranzoni and Alaga Guilherme Pini, is based in Lugano. Trench, Rossi e Watanabe have advised EFG International with a team including Luis Ambrósio (Picture), Helen Naves and Alexandre Buono Schulz.
Demarest have advised EFG International with a team including Thiago Sandim and João Paulo Minetto. In Swizzerland Schellenberg Wittmer has advised EFG International with a team including Oliver Triebold, Martin Weber, Olivier Favre, Martin Lanz, Roland Mathys, Peter Burckhardt,  Pascal Hubli, Zlatina Iliev and Marcel Jakob. Skadden has advised BTG Pactual SA with a team including Michael Civale, Laura Knoll and James Anderson.
