Science Media, LLC acquires HelloSociety, LLC

Fenwick & West represented Science Media, LLC, an L.A.-based startup builder that buys and invests in disruptive media and ecommerce companies, in the acquisition of HelloSociety, LLC, a digital marketing agency and portfolio company of Science Media, by The New York Times Company (NYSE: NYT)


Science Media LLC is a venture capital and private equity firm specializing in incubation, seed/startup, and later stage. The company, led by Michael Jones, Peter Pham, Pham Mike, Jason L. Rapp and Tom Dare, is based in Santa Monica, CA. Financial terms of the transaction were not disclosed. The acquisition will integrate HelloSociety’s tools, talent and approach into the service suite of T Brand Studio, the content agency of The New York Times. The Fenwick transaction team included corporate lawyers Bill Bromfield (Picture), Matt Karwoski, Eric Shedlosky and Shiva Mirzanian; executive compensation and employee benefits lawyers Shawn Lampron and Marshall Mort; technology transactions lawyer Michael Riskin; and tax lawyer David Forst.
