Trinity Acquisition plc's $1 Billion Senior Notes Offering

Simpson Thacher represented the underwriters, led by J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and SunTrust Robinson Humphrey, Inc., in connection with an offering by Trinity Acquisition plc, a subsidiary of Willis Towers Watson Public Limited Company (NASDAQ: WLTW), of $450 million aggregate principal amount of 3.5% Senior Notes due 2021 and $550 million aggregate principal amount of 4.4% Senior Notes due 2026.
