RB Capital Companhia de Securitização's $84 Million certificates of agribusiness receivables Offering

Demarest advised the issuer RB Capital Companhia de Securitização and the placement agent Banco Bradesco BBI S.A., in a exempted public offering of 294,500 certificates of agribusiness receivables issued by RB Capital Companhia de Securitização, amounting to BRL 294,500 million.


The CRA is backed by a debt security (referred to as CDCA) due by VLI Multimodal S.A. (a major national logistics player) and guaranteed by its parent company VLI S.A.

This transaction, was the first agribusiness asset backed securitization made by VLI Multimodal S.A., which is a company from the logistic sector. 
Demarest advised the placement agent (Banco Bradesco BBI S.A.) and the issuer in the preparation of the documents of the offering, and negotiation of its terms and conditions with a team including Thiago Giantomassi (Picture), João Paulo Bueno Minetto, Felipe Koller and Mariana Zelmanovits.
